Country Waffles [Country Waffles, Inc.] are a California corporation. All of Country Waffles's stock is owned by H. T. Brooks. Mr. Brooks is Chairman of the Board of Directors of Country Waffles, Inc. and serves as its President and Chief Operations Officer. Thomas Nast is a shareholder and serves a General Counsel. Country Waffles franchise "Count... ry Waffles" restaurants. That is all Country Waffles do. Country Waffles do not own and operate restaurants, but Mr. Brooks, individually, own and operates two "Country Waffles" restaurants, as well as a number of "Jeb's" restaurants. Mr. Brooks has been actively engaged in the restaurant business for more than 40 years. Mr. Brooks opened the first "Country Waffles" in May, 1991. Country Waffles, Inc. has sold Country Waffles franchises since November, 1992. Apart from the restaurants owned by Mr. Brooks, there are presently thirty "Country Waffles" restaurants owned by nineteen separate franchisees. "Country Waffles" serves only breakfast and lunch. It's usual hours of operation are from 6:00 A.M. to 3:00 P.M., seven days per week. Pete Kearney serves as Country Waffles's Area Director for the San Francisco Extended Bay Area. Mr. Kearney, through his corporation, Kearney CW Enterprises, Inc., operates "Country Waffles" resturants in Clayton, Livermore, Dublin, Antioch, and Danville.
