This Artificial Intelligence Acceptable Use Policy supplements the terms and conditions (“Terms”) that govern Licensee's access and use of AI-enabled ZoomInfo Services as well as Licensee's access and use of ZoomInfo Licensed Materials in connection with External AI Systems (defined below). “ZoomInfo”, “Licensee”, “Services”, and “Licensed Materials” shall have the meanings assigned to them in the Terms.
Licensee agrees to use the AI-enabled ZoomInfo Services, and any integration of Licensed Materials into AI systems, in accordance with the Terms. Licensee acknowledges that it acts as an independent Data Controller in relation to its use of the ZoomInfo AI-enabled Services and any integration of Licensed Materials into AI systems. Licensee’s use of Licensed Materials in connection with these services constitutes a “specific purpose” determined solely by Licensee (independent of ZoomInfo’s processing purposes) for which Licensee maintains full legal accountability, including for compliance with transparency and data subject rights under GDPR and other applicable US and international data protection or privacy laws. Nothing in this policy shall be construed as creating a relationship of joint controllership between ZoomInfo and Licensee.
Licensee shall not use the Services or AI Content (as defined below) for automated decision-making purposes (such as employment decision) that have legal effects, unless Licensee ensures a human makes, reviews, or oversees all such final decisions. Licensee shall not use AI Content as a substantial factor or in a way that materially influences decisions (such as employment decisions) that have legal effects. Licensee shall not submit any sensitive information to the Services. Licensee understands and agrees that features and functionalities within AI-enabled ZoomInfo Services significantly rely on access to certain data points within Licensee’s internal systems (such as specific fields within Licensee’s CRM). If such access is restricted by Licensee, Licensee understands and agrees that Licensee’s use and enjoyment of such Services may be materially affected.
Licensee acknowledges that ZoomInfo has not vetted, approved, or co-determined the logic, weighting, or intent of any External AI System used by Licensee. Any automated decision-making (including within the meaning of applicable data protection laws) performed by Licensee’s AI using the shared data is a processing activity for which the Licensee is the sole decision-maker.
ZoomInfo exercises no control over the logic, parameters, or outcomes of Licensee’s own AI solutions and External AI Systems. It is understood and agreed that certain content developed through Licensee’s use of ZoomInfo Services is generated by an AI system (“AI Content”) and may contain errors, inconsistencies, or outdated information. As an independent controller, Licensee assumes all risk regarding the accuracy of AI Content and will ensure that it is processed in a compliant manner.
AI Content is provided as-is without any warranties or guarantees of any kind, including accuracy. AI Content should not be considered as a substitute for professional advice or human-generated content, and ZoomInfo recommends reviewing any AI Content before use. Licensee shall independently review and evaluate all AI Content and other outputs of the Services through human review before using or relying on them, and shall ensure they are not used to replace discretionary decision making that have legal effects. Licensee is solely responsible for any use of AI Content. Further, ZoomInfo disclaims any liability for damages or losses resulting from Licensee’s use or reliance on AI Content.
Licensee shall not, and shall not permit any third party to, input, upload, submit, transmit, or otherwise provide the Licensed Materials (including any derivatives, extracts, summaries, or transformations therefrom) to any External AI System, where such External AI Systems may use the Licensed Materials for training, fine-tuning, model development, knowledge base enhancement, or any other purpose that would incorporate the Licensed Materials into the External AI System's capabilities, knowledge, or outputs. This restriction is a condition of the license granted under the Terms and is intended to protect the ZoomInfo’s proprietary interest in the Licensed Materials.
For purposes of this acceptable use policy, "External AI Systems" means any AI system, machine learning platform, large language model, generative AI service, or similar automated processing system, that is: (i) operated by a third party; (ii) accessible to the public or other parties beyond Licensee's organization; (iii) cloud-based or hosted outside of Licensee's direct control and secure network infrastructure; or (iv) capable of being accessed, utilized, or trained upon by parties other than Licensee's authorized personnel.
This restriction shall not apply to Licensee's use of the Licensed Materials with proprietary AI systems that are: (a) developed, owned, and operated exclusively by Licensee; (b) hosted on Licensee's own secure infrastructure or private cloud environment; (c) accessible only to Licensee's authorized personnel; and (d) not used to provide AI services to third parties or to create outputs that would be distributed beyond Licensee's organization. Upon discovery of any actual or suspected violation of these restrictions, Licensee shall: (i) immediately notify ZoomInfo in writing within twenty-four (24) hours of such discovery; (ii) immediately cease all prohibited activities and take all reasonable steps to prevent further violations; (iii) cooperate fully with ZoomInfo's investigation of the violation; (iv) use commercially reasonable efforts to cause the removal or deletion of Licensed Materials from any AI systems where such materials were improperly used; (v) provide ZoomInfo with a detailed written report of the violation, including the scope of Licensed Materials affected, the AI systems involved, and the remedial actions taken; and (vi) implement additional safeguards reasonably requested by ZoomInfo to prevent future violations.
Licensee acknowledges that any violation of these AI restrictions would cause irreparable harm to ZoomInfo for which monetary damages would be inadequate, and ZoomInfo shall be entitled to seek injunctive relief and other equitable remedies without prejudice to any other rights or remedies available at law or equity.
The restrictions and obligations set forth herein section shall survive termination or expiration of this Agreement and shall remain in effect in perpetuity.
